Business agreements and contracts. Keep what's yours when you sign.
A contract sets out what each side will do, by when and for how much, and it protects both sides when those expectations are not met. Define IPR Solutions drafts the agreements a business signs with its staff, suppliers, clients and partners.
Free consultation. Fees quoted before you commit to anything.
What we draft
Agreements for the people you work with
One for each kind of relationship a business depends on.
-
Service agreements
For work you do for clients, or that others do for you.
-
Vendor and supply agreements
Price, quality, delivery, and what happens when goods arrive late or wrong.
-
Employment agreements
Role, pay, confidentiality, and who owns the work an employee creates.
-
Confidentiality agreements
An NDA for the moments you have to share something you would rather keep private.
-
Partnership and founders' agreements
Who puts in what, who decides what, and how a partner leaves.
-
Licence and assignment agreements
Letting someone use your trademark, software or content, or transferring it outright.
If someone else creates work for your business, the agreement decides who owns it. Without a written assignment, a freelancer or an agency usually keeps the copyright.
Keeping it yours
What you get from Define IPR
-
Written around your business
We start from how your business works, not from a generic template.
-
Clear where disputes start
Payment, deadlines, ownership and how the arrangement ends are spelt out, not left to assumption.
-
Joined up with your IP
Where a document touches your trademark, your content or your know-how, it is written to protect them.
What your contract should include
- The full scope of work, including every deliverable.
- A schedule, or a deadline for each major stage.
- The amounts to be paid, and the payment terms.
- When the contract can be ended, and how.
- What happens if either side breaks a promise.
- Who owns the work and the intellectual property in it.
One thing to know
A contract does not have to be on paper to be valid, but a written, signed and properly stamped one is far easier to enforce.
How it gets written
From a conversation to a signed document
-
01 Brief
Tell us about the arrangement
Who is involved, what each side expects and what worries you most.
-
02 Draft
We write the document
A first draft built around your business and the points that matter in it.
-
03 Review
You read, we revise
We go through the draft with you, explain what each part does and make the changes you need.
-
04 Final
Ready to sign
You receive the final document, with a note on stamping and signing where they apply.
Before you decide
Agreements and contracts, answered
What makes a contract legally valid in India?
Under the Indian Contract Act, 1872, a contract needs an offer and its acceptance, something of value exchanged by each side, parties who are competent to contract, consent that is freely given, and a lawful purpose.
Is an agreement signed electronically valid?
For most business agreements, yes. Electronic records and electronic signatures are recognised by the Information Technology Act, 2000. A small number of documents, such as wills, are excluded.
Is a verbal agreement enforceable?
Often it is in law, but it is hard to prove. Without a written record, each side remembers the terms differently, and a court has little to go on.
Can I stop an employee from joining a competitor?
While they work for you, yes. After they leave, a clause that bars them from competing is generally not enforceable in India, because Section 27 of the Indian Contract Act, 1872 treats agreements in restraint of trade as void. Confidentiality obligations can continue.
Who owns work created by a freelancer?
The freelancer, unless the agreement assigns it to you in writing. This applies to logos, website code, photographs and written content, so the assignment clause matters more than most people expect.
How much does it cost to have an agreement drafted?
It depends on the agreement and how much of it is specific to your business. We quote the fee after a free consultation, before you commit to anything.
